Topical issues of amending the Civil Code of Russia

The practical conference “Topical issues of amending the Civil Code of Russia”, organized by the non-commercial partnership “Corporate Lawyers’ Association”, will be held on February 21st of 2013. The Law Firm "YUST" and Norton Rose international law firm are the partners of the event.

The Civil Code of the Russian Federation is called the “economic Constitution” of the country, and is currently under revolutionary amendments.

The amendments to the CCRF aim at, among the other basic goals, the adapting of the legislation to the objective requirements of the business community, which have formed during practice. The new institutions and instruments suggested for introduction into the Code are designed for expansion of the rights of business structures to execute business agreements, while at the same time aiming at increasing the stability and protection of relations in the various spheres of investment activity.

Leading experts will participate in the conference, including the authors of the amendments to the CCRF, and it is suggested to discuss the main novelties of the civil legislation as well as the matters related to their practical application:

  • New instruments of legal regulation of corporate relations (conceptual separation of economic societies into public and non-public, new types of legal entities, additional elements of shareholders’ agreements);
  • Contractual law novelties, which provide new ways of safeguarding commercial interests in M&A transactions, including circumstance statements, potestative conditions, compensation duty, option agreements, irrevocable powers of attorney, escrow;
  • New instruments of safeguarding the creditors’ rights (for example, introduction of novelties concerning guarantees, mortgage, pledges etc.);
  • Changes of the rules of liability for breaching obligations (for example, simplification of the procedure of calculation and exaction of losses);
  • Novelties in the part of regulation of pre-contractual obligations and liability, new types of real rights (the right to construction etc.);
  • Changes aimed at the improvements to the legislation in the industrial property sphere (patent law, rights to the means of individualization of legal entities, products, works and services);
  • Regulation of the use of intellectual activity results in the information and telecommunication networks;
  • The matters of realization of the good faith principle.
