English law: an exchange of experience

A practical seminar dedicated to English law, organized by the Law Firm "YUST" jointly with the English law firm Field Fisher Waterhouse, was held on February 29. Alex Woodfield, Partner at Field Fisher Waterhouse, was the lead speaker at the event.

Topical aspects of legal practice on the following issues were studied during the event:

  • M&A transactions in English law:
  • Legal status of public companies under English law;
  • Antimonopoly regulation in the European Union and in Great Britain.

Alex Woodfield told the participants of the seminar about the basic principles of English contractual law, in particular, about the impossibility of penalty, the difference between representations and warranties, etc.

The seminar’s participants have also discussed:

  • Whether a disclosure may cause limitation (decrease) of the seller’s liability under obligations connected with compensation of the losses caused by violation of warranty;
  • What are the signs fixed by English law for defining a group of persons if a compulsory bid is caused;
  • What are the levels of disclosure by the public companies’ interest holders fixed by English law.
