Models for companies

The Ministry of Economy proposes giving business the right to register without providing the charter to the tax officials – if an approved model of said document is used. Besides, if the charter is a model one, it will not have to be submitted to contractors, who will be able to read it at the website of the tax inspectorate. However, lawyers believe that model charters will not be too popular, and will rather be employed by “one-man companies”.

The Ministry of Economy has prepared a draft of the amendments to the Civil Code and the LLC Law, which regulate the possibility to use model charters by companies. The document was elaborated within the framework of the “roadmap” “Optimization of the procedures of registration of legal entities and individual entrepreneurs” <...>

Alexander Bolomatov, Partner of the Law Firm "YUST", believes that model charters will be more widely employed by “one-man companies”. The expert points out: “As soon as he gets a partner in his company, he will want to stipulate special conditions of joint operation in the documents of association”. According to him, the approval of such charters is only expected.
