On 22 October 2008 in Kiev, the Law Firms “YUST” and “YUST UKRAINE” organized a round table on international features of corporate legal relations.

Corporate lawyers of major Ukrainian companies and experts in corporate law took part in the round table session.

Arthur Rokhlin, Partner of the Law Firm “YUST”, was acted as moderator of the round table. Evgeny Zhilin, Associated Partner of the Law Firm “YUST”, Maxim Rovinskiy, Advocate of the Law Firm “YUST”, and Julia Kurilo, Director of the Law Firm “YUST UKRAINE” delivered speeches during the round table.

Julia Kurilo, Director of the Law Firm “YUST UKRAINE” emphasized an increasing interest of Ukrainian businessmen towards foreign jurisdictions as a means to minimize property loss risks, to optimize financial streams, and to enter international stock markets.

Evgeny Zhilin, Associated Partner of the Law Firm “YUST” described basic work rules of companies in such popular jurisdictions as Cyprus and the Netherlands, clarified basic stages and features of due diligence in foreign jurisdictions and reported on YUST experience in co-operating with partners from the MULTILAW, Multinational Association of Independent Law Firms, when structuring corporate transactions under foreign law and in foreign jurisdictions.

Maxim Rovinskiy, Advocate of the Law Firm “YUST”, analyzed the criteria of choosing foreign jurisdictions for the planning of corporate transactions with the involvement of foreign entities, in regard to taxation aspects. He also shared his considerations on usage of double tax treaties in the creation and re-structuring of holdings in foreign jurisdictions for assets located in Russia and Ukraine.

Richard Underwood, Partner of the MARTINEAU Law Firm (UK) made a presentation on basics of English corporate law; he also described the transaction structures and vehicles that are most frequently in the course of M&A operations.
