The Law Firm "YUST" succeeded in proving the legality of “Obyedinennaya Zernovaya Kompaniya (United Grain Company)” OJSC actions to the FAS of Russia

In June, the Federal Antimonopoly Service (FAS) of Russia initiated a case against “Obyedinennaya Zernovaya Kompaniya (United Grain Company)” (OZK) OJSC and “IK “Troyka Dialog”” CJSC. The Federal Service suspected that the companies had created obstacles during the privatization of OZK and had thus violated Articles 11 and 17 of the Federal Law No. 135-FZ “On protection of competition” dated 26.07.2006.

In May, OZK chose the “Summa” group as the strategic investor, which offered 5,951 billion roubles for the stock of 50% minus one share after additional emission. Thus, the offer by “Summa” exceeded the “Rusagro” offer by 226 million roubles.

FAS of Russia conducted a scheduled check of “Obyedinennaya Zernovaya Kompaniya (United Grain Company)” (OZK) OJSC and concluded that the procedure of organization of the process of sale of the additionally emitted shares of OZK, the means of sale (closed subscription), the criteria of choosing the potential purchasers contained indications of limitation of competition.

On 09.07.2012, the committee of FAS of Russia closed the case against OZK and “IK “Troyka Dialog”” CJSC for the motive of no offence committed.
