It is no secret that a large portion of the Russian business is still being operated via off-shore companies. First, this is due to the need to protect the assets and to limit the access to the information on the end beneficiary. Second, this is connected to a more predictable and impartial law enforcement abroad (which is by far not always so in actuality). Third, there is a more flexible legal regulation of the matters of company operation as well as of entering into transactions.
Those circumstances are closely connected. A flexible regulation allows the parties to determine comfortable conditions of their deals and of managing their companies by themselves. In its turn, such liberty makes law enforcement more predictable, because it mitigates the risk of a court ruling a certain agreement invalid. As a result, predictability (stability) of law enforcement becomes the most important guarantee for protection of the assets.
